Digital 1 Media, Inc. Executes Asset Purchase Agreement with Visiosonic, Ltd.

CLEARWATER, Florida  June 30, 2006 Digital 1 Media, Inc. announced today that it had executed an Asset Purchase and Sale Agreement with Visiosonic, Ltd. for the acquisition of Visiosonic's media-related assets.  Digital 1 Media will continue to develop and market products and services under the well-known PCDJ brand name, originally developed by Visiosonic.

Joe Vangieri, President and CEO of Visiosonic, Ltd., in speaking of the Asset Purchase, stated “We are extremely excited about turning over the assets of Visiosonic to Digital 1 Media, since the Company's capabilities, in rapidly advancing digital content production and distribution, is perfectly compatible with the next steps anticipated for the PCDJ brand.”

In addition to its acquisition of the portfolio of PCDJ brands and associated assets, Digital 1 Media is actively
pursuing a number of groundbreaking technical projects, each of which has the potential to transform key elements of the digital audio and video marketplace. The Company will also further the expansion and marketing of its full line of PCDJ-branded, professional audio hardware and software, which is recognized worldwide as the industry pioneer and leader.
